1. Introduction
Welcome to BrightKey PR. These Terms and Conditions ("Terms") govern your use of our public relations and marketing services. By engaging our services, you agree to be bound by these Terms.
2. Service Description
BrightKey PR provides comprehensive public relations services including but not limited to media relations, content creation, strategic communications planning, crisis management, and brand positioning. Our services are tailored to meet the specific needs of each client.
3. Client Responsibilities
As our client, you agree to:
- Provide accurate and complete information necessary for campaign execution
- Respond promptly to requests for approvals, feedback, and materials
- Maintain confidentiality of proprietary strategies and methodologies
- Make timely payments according to agreed-upon terms
- Provide necessary access to key stakeholders and decision-makers
4. Payment Terms
Payment terms are specified in individual service agreements. Generally, retainer fees are due monthly in advance, and project-based fees are payable according to agreed milestones. Late payments may incur additional charges and may result in suspension of services.
5. Confidentiality
BrightKey PR maintains strict confidentiality regarding all client information, strategies, and proprietary data. We require all team members to sign non-disclosure agreements and implement secure data handling procedures to protect client interests.
6. Intellectual Property
Content, strategies, and materials created specifically for clients remain the property of the client upon full payment. However, BrightKey PR retains rights to general methodologies, processes, and non-client-specific knowledge developed during service provision.
7. Limitation of Liability
While BrightKey PR strives for excellence in all services, we cannot guarantee specific outcomes such as media coverage, audience engagement levels, or business results. Our liability is limited to the total amount paid for services in the preceding twelve months.
8. Termination
Either party may terminate services with 30 days written notice. Upon termination, clients remain responsible for payment of all services rendered and expenses incurred up to the termination date. All confidentiality obligations continue indefinitely.
9. Governing Law
These Terms are governed by the laws of the jurisdiction in which BrightKey PR operates. Any disputes arising from these Terms or our services shall be resolved through binding arbitration or in the courts of competent jurisdiction.
10. Amendments
BrightKey PR reserves the right to modify these Terms at any time. Clients will be notified of significant changes, and continued use of our services constitutes acceptance of modified Terms.
11. Service Agreement, Refund & Cancellation Policy
11.1. Scope of Service: Our service consists of two primary stages: (a) the writing and preparation of a press release draft, and (b) the distribution of the final press release to our media network. Our fee covers the entire project from creation to distribution.
11.2. Client Approval and Edit Window: Upon payment, our team will deliver a completed press release draft to the client for review. The client has a 48-hour window from the time the draft is delivered to submit any requests for edits.
- All edit requests must be submitted within this 48-hour window.
- If no edit requests are received within the 48-hour window, the press release draft will be automatically considered approved by the client.
11.3. Distribution: Once a press release is approved, either by direct client confirmation or by the 48-hour auto-approval window lapsing, it will be scheduled for distribution. Distribution is a final, non-reversible action.
11.4. No Specific Outlet Guarantee: BrightKey PR guarantees distribution to our established media network but does not guarantee placement on specific individual websites or outlets. Final publication is determined by the participating media platforms and is outside our control. By approving the press release, the client acknowledges that placements may vary.
11.5. Placement Volume: Placement numbers reflect the total distribution network and historical averages, not guaranteed unique publication counts for every individual campaign.
11.6. Post-Distribution Edits: Once a press release is distributed, no edits or cancellations are possible. Any requested changes after distribution will require a new distribution order and associated fees.
11.7. Third-Party Network Disclaimer: BrightKey PR uses trusted third-party distribution platforms such as EIN Presswire. Final placement is subject to the terms and editorial discretion of those platforms and their partners.
11.8. No Performance or Sales Guarantees: BrightKey PR does not guarantee specific marketing results, sales outcomes, traffic increases, or media engagement resulting from press release distribution.
11.9. Refund Policy:
- Before Draft Delivery: A full refund is available if a cancellation request is made before our team has delivered the first draft of the press release.
- After Draft Delivery: Once the press release draft has been delivered to the client, the service is considered to be in progress and is strictly non-refundable. This is because our resources and expertise have been fully allocated to the client's project at this stage.
- Friendly Fraud: In cases where the service has been fully delivered (i.e., the press release has been distributed) and a client files a fraudulent dispute (also known as "friendly fraud"), we will provide all documentation and communication records to the relevant financial institution and reserve the right to contest the dispute.
11.10. Cancellation: All cancellation requests must be made in writing before the first draft is delivered. Once the draft is delivered, the project is considered active and cannot be canceled for a refund.
